Terms of Service

These Terms of Service ("Terms") govern your access to and use of the VyBeing platform and services (collectively, the "Service") provided by VyBeing Technologies Ltd. ("VyBeing," "we," "us," or "our"), a company registered in Israel. By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

These Terms constitute a legally binding agreement between you and VyBeing Technologies Ltd. under Israeli law.

2. Eligibility and Account Registration

Eligibility

• You must be at least 18 years old to use the Service
• You must have the legal capacity to enter into binding contracts
• You represent that all information provided during registration is accurate and complete

Account Security

• You are responsible for maintaining the confidentiality of your account credentials
• You agree to notify us immediately of any unauthorized access to your account
• You are responsible for all activities that occur under your account

3. Service Description and Subscription

VyBeing provides a platform connecting companies with vetted vendors for employee experience programs, including events, wellness activities, gifts, and other services.

Subscription Plans

• Subscription details, pricing, and features are outlined on our website and in your order confirmation
• All prices are quoted in New Israeli Shekels (NIS) or US Dollars (USD) and include applicable VAT
• Subscriptions automatically renew unless canceled prior to the renewal date
• We reserve the right to modify pricing with 30 days' notice to existing subscribers

4. Payment Terms

• Payment is due upon subscription purchase or renewal
• We accept major credit cards and other payment methods as indicated on our platform
• All payments are processed securely through our payment service providers
• Refunds are provided in accordance with Israeli Consumer Protection Law (see Section 6)

5. Service License and Restrictions

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to these Terms.

Restrictions

You agree not to:

• Reverse engineer, decompile, or disassemble any part of the Service
• Copy, modify, distribute, or create derivative works from the Service
• Use the Service for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) without our written permission

6. Cancellation and Refund Policy (Israeli Consumer Protection Law)

In accordance with the Israeli Consumer Protection Law, 5741-1981, you have the right to cancel remote sales transactions:

Cancellation Rights

• For Services: You may cancel within 14 days of the transaction date
• For Ongoing Services: Cancellation is possible whether the service has started or not
• Cancellation Method: Contact us via email at [email protected] or through your account settings

Refund Terms

• Refunds will be processed within 14 days of receiving your cancellation notice
• A cancellation fee of 5% of the transaction amount or NIS 100 (whichever is lower) may apply, unless cancellation is due to a defect or service failure
• Refunds will be issued to the original payment method

7. Intellectual Property Rights

Our Intellectual Property

The Service, including all software, design, text, graphics, logos, and content, is the exclusive property of VyBeing and is protected by Israeli and international intellectual property laws.

User Content

• You retain ownership of any content you upload or create using the Service
• By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content solely for providing and improving the Service
• You represent that you have all necessary rights to the content you submit

8. Third-Party Vendors and Services

• The Service connects you with third-party vendors who provide products and services
• Vendors are independent contractors, not employees or agents of VyBeing
• We vet vendors but do not guarantee the quality, safety, or legality of their services
• Your contracts for services are directly with the vendors, subject to their terms
• We are not liable for vendor performance, except as required by Israeli law

9. Data Protection and Privacy

We process your personal data in accordance with Israeli privacy laws, including the Protection of Privacy Law, 5741-1981, and Amendment No. 13 (effective August 14, 2025). Please review our Privacy Policy for detailed information about our data practices.

10. Disclaimers and Limitations of Liability

Service Availability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." While we strive for high availability, we do not guarantee uninterrupted, error-free, or secure operation.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY ISRAELI LAW, VYBEING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

Our total liability for any claim shall not exceed the amount paid by you for the Service in the 12 months preceding the event giving rise to liability.

Note: Nothing in these Terms limits our liability for death, personal injury, fraud, or any liability that cannot be excluded under Israeli law.

11. Indemnification

You agree to indemnify and hold harmless VyBeing, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your violation of these Terms or your use of the Service.

12. Termination

• We may terminate or suspend your account immediately for violation of these Terms
• You may terminate your account at any time through your account settings
• Upon termination, your right to use the Service ceases immediately
• Provisions that by their nature should survive termination will remain in effect

13. Governing Law and Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to conflict of law principles.

Jurisdiction

The competent courts of Tel Aviv-Jaffa, Israel, shall have exclusive jurisdiction over any disputes arising from these Terms or your use of the Service.

Israeli Consumer Protection

For Israeli consumers, any choice of law or jurisdiction clause that undermines protections granted by Israeli consumer protection laws shall be unenforceable, and Israeli law shall apply.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a prominent notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and VyBeing
• Severability: If any provision is found unenforceable, the remaining provisions remain in full effect
• Waiver: Our failure to enforce any right does not constitute a waiver of that right
• Assignment: You may not assign these Terms without our written consent
• Language: This agreement is provided in English. Hebrew translations are for convenience only
